The Canadian HSE Registry Ltd. Contractor Member Agreement

The Canadian HSE Registry Ltd. ("the Registry") provides information services so Contractors can more efficiently provide health, safety, environmental and other confidential information to current and potential employers. This information helps employers select quality goods and services. This Contractor Services Agreement is a legal agreement between you and Canadian HSE Registry Ltd., which governs your use of the Registry services.

Please review the following terms carefully. If you agree to be legally bound by the Terms and Conditions of this agreement click “I AGREE”, and you may publish your information on the Registry website for secure storage and dissemination. If you do not agree to the Terms and Conditions of this agreement, click on “I DISAGREE”, and the Registry shall not be required to provide website access.

Contractor (YOU) means any organization, company or independent consultant that provides or sells goods or services and has published their data on the Registry.

You understand that the purpose of posting information to the Registry is to provide current and potential employers information about your 0rganization.  
You agree to:

  • Use the website in accordance with the Terms and Conditions.
  • Warrant the truthfulness of the information supplied to the Registry.
  • Obtain and retain written clearance from individuals to collect, store and disseminate their personal information prior to publishing on the Registry website.
  • Provide accurate and complete data to the best of your knowledge and abilities.
  • Update your data annually or more often whenever there is a significant change.

You recognize that joining the Registry does not result in a real or implied commercial agreement between your company and any other member.

The Registry is an independent service provider that claims no ownership of the data and guarantees contractor or vendor/client privileged data will be treated in strict confidence and accessed by the Registry only to verify quality or in aggregate form for statistical purposes. You shall own and retain all responsibility for the data supplied, published or communicated to the Registry.

The Registry is committed to ensuring confidentiality of matters in connection with the services and the website. Contractors recognize and accept responsibility for all information published in the Registry. All users shall treat all information obtained from the website as confidential.

Contractors agree that they will utilize the Registry services at their own risk. The Registry will use all reasonable efforts to ensure the accuracy, completeness and confidentiality of any information provided as part of the services. The Registry shall have no liability whatsoever to Contractors in any circumstances in connection with the supply of services irrespective of the Registry’s negligence and/or breach of duty (statutory or otherwise) or breach of confidence arising out of its negligence. Without limitation to the foregoing the Registry excludes liability for any loss of profit, loss of opportunity or any consequential or indirect loss arising out of the provision of the services. To the extent permitted by law, the Registry’s liability is limited under any circumstances to the unexpired value of the Contractor’s annual registration fee.

To the extent allowed by law, this service is provided to the Contractor “as is” without warranties or conditions of any kind, whether oral or written, express or implied. The Registry specifically disclaims any implied warranties or conditions of merchantability, satisfactory quality non-infringement and/or fitness for a particular purpose.

This agreement will become effective upon your acceptance of this agreement and shall continue in effect unless you provide a written notice to withdraw (no fee reimbursement), the term covered by the payment expires or the Registry terminates this agreement for cause. The Registry shall require a Contractor to withdraw from the Registry service if it is found to be in breach of any of these Terms and Conditions.

This agreement is governed and controlled under the jurisdiction of the laws of the Province of Alberta, Canada. If any of the provisions of this agreement shall be declared void, such provisions shall be severable and independent from the other provisions of this agreement, and the validity of the other provisions and of the entire agreement shall not be affected.

These Terms and Conditions represent the entire agreement between the Registry and the Contractor and can only be amended by revised Terms and Conditions issued by the Registry. Failure of the Registry or the Contractor to enforce it or their rights hereunder shall not constitute a waiver of such rights. These Terms and Conditions shall continue in effect until amended or terminated by the Registry by written notice.

The Canadian HSE Registry Ltd. Employer Member Services Agreement  

The Canadian HSE Registry Ltd. ("the Registry") provides information services so Contractor and Employer Registry Members can more efficiently select quality goods and services. This Employer Member Services Agreement is a legal agreement between you and Canadian HSE Registry Ltd., which governs your use of the Registry services. If you agree to be legally bound by the Terms and Conditions of this agreement, you may have access to published Contractor information in accordance with your registration fees paid. If you do not agree to the Terms and Conditions of this agreement, the Registry shall not be required to provide website access.

Terms and Conditions

1. Definitions
Contractor – Any organization or company that provides or sells goods or services and has published their data on the Registry.
Employer – Any organization or company that purchases or acquires goods or services from contractors and uses the Registry information.
Member – Contractors or Employers whose account has been fully paid directly or by others to use the Registry services.

2. Services
Services provided by the Registry may include, but shall not be limited to, operation of the website, data collection and recording, audits and/or assessments of Member’s data, data analysis in accordance with Employer Member’s standards and any other contract information management services. Access to the website will be available to Employer Members. Members may request and the Registry shall consider any reasonable changes to the services.

The Registry agrees to provide the services and operate the website in compliance with applicable law and in accordance with the highest ethical standards and principles of fairness, equality of opportunity, non-discrimination and strict confidentiality. The Registry shall not be liable for any failure to perform its obligations hereunder to the extent that such performance has been delayed, hindered or prevented by any circumstances reasonably beyond its control.

3. Specific Obligations of Employer Members
Employer Members agree to:

  • Use the website in accordance with the Terms and Conditions
  • Provide the Registry with information as reasonably necessary to provide website services.
  • Provide the Registry with your Contractors list.
  • Obtain and retain written clearance from individuals to collect, store and disseminate their personal information prior to publishing on the Registry website.
  • Treat all information viewed or used as strictly confidential.

4. Website Ownership
All rights, titles and interest in and to the Registry website and software are owned by the Registry or its suppliers. The rights to use the website services are licensed to Employer Members on a limited basis. This provision shall not be construed in any way, as an expression to assign or sell any copyrights of, or any other intellectual property rights to, the website or software from the Registry to you.

5. Data Ownership
The Registry is an independent service provider that claims no ownership of the data and guarantees contractor or vendor/client privileged data will be treated in strict confidence and accessed by the Registry only to verify quality or in aggregate form for statistical purposes. Subject to approval of each Contractor Member, the Registry grants Employer Members a non-exclusive, non-transferable license to use and copy the Contractor Member’s data published on the Registry as required for their own business purposes only and for the period for which Employers have paid for the use of the System.

6. Warranty Disclaimer
To the extent allowed by law, this service is provided to Employer Members “as is” without warranties or conditions of any kind, whether oral or written, express or implied. 8. Website Links
Members may request the Registry to create links to their own websites. The Registry reserves the right to terminate such links at any time without notice if in its opinion the information on the linked website is inaccurate, misleading, defamatory, offensive or otherwise illegal.

Members release third party agents such as provincial worker’s compensation and insurance providers to post your performance, clearance and insurance data onto your secure workspace on the Registry website.

9. Passwords
The Registry shall issue passwords to Employer Members so they can view information on the website. It is the Member’s responsibility to control access to, use and withdrawal of such passwords. The Registry accepts no liability for misuse of such passwords.

10. Confidentiality
The Registry and Members are committed to ensuring confidentiality of matters in connection with the services and the website. Members recognize and accept responsibility for all information published in the “Free Directory” recognizing the Registry provides unrestricted access to “Free Directory” information. Employer Members shall treat all information obtained from the website as confidential. Employer Members shall disclose any part the data only on a need to know basis. Employer Members shall limit data access to those who are directly involved in the supply, use of the Services or have a duty to be aware of the confidential data and shall limit application to the member’s own business activities. Contractor Members shall be responsible for managing access clearance to data you publish on the Registry website. The Registry shall provide contractors with a service so they can manage Member access to their data. The Registry will provide a service that makes Member’s data, published on the website, available to other Members that have been selected by the data owner. The Registry may also provide at its absolute discretion a list of names and addresses of Members to others.

11. Delegation of Obligations
The Registry may appoint third parties to fulfill any or all of it obligations including the provision of the services. The Registry will use reasonable efforts to ensure third parties provide an appropriate and timely standard of performance and comply with confidentiality obligations.

12. Termination
This agreement will become effective upon your acceptance of this agreement and payment, and shall continue in effect unless you provide a written notice to withdraw (no fee reimbursement), the term covered by the payment expires or the Registry terminates this agreement for cause. In the event that a Member does not pay any fee when it falls due, such Member shall be deemed to have withdrawn from the System and shall pay all relevant fees in force at the time of their subsequent rejoining. The Registry shall require a Member to withdraw from the Registry service if it is found to be in breach of any of these Terms and Conditions.

13. Governing Laws
This agreement is governed and controlled under the jurisdiction of the laws of the Province of Alberta, Canada. If any of the provisions of this agreement shall be declared void, such provisions shall be severable and independent from the other provisions of this agreement, and the validity of the other provisions and of the entire agreement shall not be affected.

14. General
These Terms and Conditions represent the entire agreement between the Registry and the Members and can only be amended by revised Terms and Conditions issued by the Registry. Failure of the Registry or the Members to enforce it or their rights hereunder shall not constitute a waiver of such rights. These Terms and Conditions shall continue in effect until amended or terminated by the Registry by written notice.
